Agreement to Terms

These Terms of Service ("Terms") govern your use of the BWAH Digital website at bwahdigital.com and any services provided by BWAH Digital Ltd ("BWAH Digital", "we", "us", "our"), a company registered in England & Wales. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Services

BWAH Digital provides AI-driven marketing, automation, and digital strategy services to SME businesses. Our services include but are not limited to:

  • AI-assisted content creation and management
  • Performance marketing and paid advertising management
  • SEO and AI-search optimisation (GEO)
  • Marketing automation design and implementation
  • Analytics, reporting, and dashboard configuration
  • Custom workflow engineering and digital transformation consultancy

Specific deliverables, timelines, and pricing for each engagement are defined in the individual service agreement or statement of work agreed between BWAH Digital and the client.

2. Payments & Billing

  • Services are billed monthly in advance unless otherwise agreed in writing
  • All prices are quoted in GBP and are exclusive of VAT unless stated otherwise
  • Payments are processed securely via Stripe. By providing payment details, you authorise us to charge the agreed fees
  • Invoices are due on the date of issue. Late payments beyond 14 days may result in service suspension
  • We reserve the right to adjust pricing with 30 days written notice
  • All fees paid are non-refundable unless otherwise agreed in writing or required by law

3. Client Responsibilities

To enable effective delivery of our services, you agree to:

  • Provide accurate, complete, and timely information required to perform the services
  • Grant necessary access to platforms, accounts, and tools required for service delivery
  • Review and approve deliverables within agreed timelines
  • Ensure all content, materials, and assets you provide do not infringe third-party intellectual property rights
  • Designate a primary point of contact with authority to approve decisions on your behalf
  • Comply with the terms of all third-party platforms used as part of the service

4. Intellectual Property

  • Upon full payment, all custom deliverables created specifically for you (content, graphics, automation workflows) become your property
  • BWAH Digital retains ownership of all underlying methodologies, frameworks, templates, prompt systems, and proprietary tools used in delivering services
  • You grant BWAH Digital a non-exclusive licence to use your brand assets solely for the purpose of delivering the agreed services
  • BWAH Digital may reference your company name in our client portfolio unless you request otherwise in writing
  • All website content, code, and design on bwahdigital.com remains the intellectual property of BWAH Digital

5. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or trade secrets shared during the engagement. This obligation survives termination of the service agreement. Neither party will disclose the other's confidential information to third parties without prior written consent, except where required by law.

6. Cancellation & Termination

  • Either party may terminate a monthly service agreement with 30 days written notice
  • Notice must be sent to [email protected]
  • Services will continue and remain billable during the notice period
  • BWAH Digital reserves the right to terminate immediately if: payment is more than 30 days overdue, you breach these Terms materially, or your conduct is unlawful or abusive
  • Upon termination, we will provide all completed deliverables and transfer access to platforms managed on your behalf within 14 days

7. Limitation of Liability

  • BWAH Digital's total liability to you for any claim arising from our services shall not exceed the total fees paid in the three months preceding the claim
  • We are not liable for indirect, incidental, or consequential losses including lost profits, lost revenue, or loss of data
  • We do not guarantee specific marketing or business outcomes. Results depend on many factors outside our control including market conditions, platform algorithm changes, and client-side execution
  • We are not liable for any issues arising from third-party platforms, tools, or services (including but not limited to Google, Meta, Stripe, or automation platforms)

8. Website Use

By accessing bwahdigital.com, you agree that you will not:

  • Use the website for any unlawful or fraudulent purpose
  • Attempt to gain unauthorised access to any part of the website or its infrastructure
  • Transmit any harmful, offensive, or disruptive content via our contact forms
  • Reproduce, redistribute, or commercially exploit any website content without written permission
  • Use automated scraping tools to extract data from the website

9. Third-Party Links & Tools

Our website and services may include links to or integration with third-party platforms (such as Stripe, Google, LinkedIn, or Meta). We are not responsible for the content, privacy practices, or terms of those platforms. Your use of third-party services is governed by their own terms and policies.

10. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page will reflect any changes. For active service clients, material changes will be communicated by email with 14 days notice. Continued use of our services after that period constitutes acceptance of the updated Terms.
